Mixing Night Audio Terms of Service

Welcome to the Mixing Night Audio website. The website (the “Site”) is operated by Mixing Night Audio Inc. (“Mixing Night,” “Mixing Night Audio,” “we,” or “us”) and is comprised of various web pages and online services, including our Shopify store, designed to register visitors for our livestreams and sell music software and plugins (“software,” “plugins,” or “products”).

By accessing or using the Site, you (“you,” “User,” or “Customer”) agree to be bound by these Terms of Use (“Terms”). Please read them carefully and retain a copy for your records.
If you do not agree to be bound by these Terms of Service and to follow all applicable laws, you must not use our Site or Services.
1. PRIVACY
Your use of the Site is governed by our Privacy Policy , which explains how we collect, use, and protect your personal information, including through technologies such as Google Tag Manager, Google Ads, Google Analytics, Meta Pixel, TikTok Pixel, and Hotjar.

2. INTELLECTUAL PROPERTY
All content, including but not limited to text, graphics, logos, product names, icons, software, audio, video, and the compilation thereof, is the property of Mixing Night Audio Inc. or its licensors, and is protected by copyright, trademark, and intellectual property laws.

This includes, but is not limited to:
Mixing Night Audio, Mixing Night, Ken Lewis, GreenHAAS, ALLCOMP, LOLCOMP, CASCADE, and MixingNightAudio.com.

You may not reproduce, distribute, display, sell, license, or create derivative works from any content without express written permission from Mixing Night Audio. All rights not expressly granted are reserved.

3. LICENSES AND RESTRICTIONS
Mixing Night Audio grants you a personal, limited, non-exclusive, non-transferable, revocable license to access and use purchased software or plugins strictly in accordance with these Terms and any accompanying End User License Agreement (EULA).

You agree NOT to:
  • Copy, modify, distribute, or transmit any part of the software or site content without authorization.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code.
  • Use automated systems (bots, scrapers, crawlers) to access or interact with the Site.
  • Circumvent any security, access control, or digital rights management system.
  • Share, sell, or resell, assign, sublicense, or otherwise transfer software licenses or activation codes.
  • Use our trademarks, logos, or metadata tags without consent.
Unauthorized use immediately terminates your license.

4. ELECTRONIC COMMUNICATIONS
By visiting the Site or sending us email, you consent to receive communications from us electronically. You agree that electronic communications satisfy any legal requirement that communications be in writing.

5. YOUR ACCOUNT
If you create an account on our Site, you are responsible for maintaining the confidentiality of your account credentials and restricting access to your computer. You agree to accept responsibility for all activities under your account. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that Mixing Night Audio is not responsible for third party access to your account that results from theft or misappropriation of your account.

Mixing Night Audio reserves the right to suspend, refuse, or terminate accounts or orders at its sole discretion.

6. CHILDREN UNDER THIRTEEN
Mixing Night Audio does not knowingly collect information from individuals under the age of thirteen. If you are under 18, you may use this Site only with the permission of a parent or guardian.

7. CANCELLATION & REFUNDS
Please refer to our refund policy   as it is an essential part of these terms of service. Mixing Night Audio offers a 14-day free trial on select software.
After the trial expires you won't be charged unless you manually buy a full license for any of our products.

Due to the digital nature of our products, no refunds are offered after download or activation unless required by applicable law. Refund exceptions may be made only in cases of duplicate billing or verified technical issues that prevent access to purchased content. Please use our free trials before making a purchase if in doubt about compatibility with your system.

8. LINKS TO THIRD PARTIES & SERVICES
Our Site may contain links to third-party websites and services (the “Linked Sites”).
We are not responsible for the content, accuracy, or policies of any Linked Site, including any that use cookies or analytics tools.

Inclusion of any link does not imply endorsement or association. Use of Linked Sites is at your own risk. Purchases processed through Shopify are also subject to Shopify’s Terms of Service and Privacy Policy .

9. INTERNATIONAL USERS
Our Site is operated in the United States. If you access our Services from outside the U.S., you are responsible for compliance with local laws. You consent to data processing in the United States as described in our Privacy Policy .

10. LIABILITY DISCLAIMER
MIXING NIGHT AUDIO DOES NOT WARRANT THAT THE SITE OR ANY PRODUCT WILL BE UNINTERRUPTED OR ERROR-FREE.

THE SITE AND ALL RELATED INFORMATION, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. MIXING NIGHT AUDIO INC. DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL MIXING NIGHT AUDIO INC., ITS OFFICERS, EMPLOYEES , AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Mixing Night Audio Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, or expenses arising out of your use of the Site, your violation of these Terms, or infringement of any third-party rights.

12. ARBITRATION
All disputes arising under these Terms shall be resolved exclusively by binding arbitration under the Federal Arbitration Act, administered by the American Arbitration Association (AAA).

The arbitration shall take place in Hamilton, Ohio, unless otherwise agreed. Each party shall bear its own costs unless otherwise required by law.

13. CLASS ACTION WAIVER
You and Mixing Night Audio agree that all disputes will be conducted solely on an individual basis, not as part of any class, consolidated, or representative action.

14. TERMINATION & ACCESS RESTRICTION
Mixing Night Audio may terminate your access to the Site at any time, with or without notice, for conduct that violates these Terms or harms the company’s interests.

This Agreement is governed by the laws of the State of Ohio, excluding conflict of law rules. You consent to the exclusive jurisdiction of courts located in Ohio.

15. GOVERNING LAW
This Agreement is governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of courts located in Ohio for any action not subject to arbitration.

16. CHANGES TO TERMS
Mixing Night Audio reserves the right to modify these Terms at any time. The date of the most recent update will always appear at the top of the page. The current version will always be available on this page and will supersede prior versions. Your continued use of the Site after such changes constitutes acceptance of the revised Terms.
